1. Acceptance of terms

These Terms of Use (“Terms”) are a binding agreement between you and North Sea Strategic (“North Sea Strategic,” “we,” “us,” or “our”) governing your access to and use of northseastrategic.com (the “Site”). By accessing the Site, submitting a form, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

2. Our services

North Sea Strategic is a digital studio providing website design and development, branding, content, SEO, paid media, and related services, and we build and license the North Sea platform. Information on the Site describes our services in general terms for informational purposes only. It is not an offer, a guarantee of availability, or a commitment to perform, and it does not create any obligation on our part.

3. Scope of these Terms; client engagements

These Terms govern your use of the Site only. Any engagement of North Sea Strategic for services — and any use of the North Sea platform under license — is governed by a separate written agreement (such as a proposal, statement of work, master services agreement, or license agreement) executed between you and North Sea Strategic. Where such an agreement conflicts with these Terms, the separate agreement controls with respect to that engagement. Nothing on the Site, and no submission of a form, creates a client relationship or a binding contract for services on its own.

4. Website content and intellectual property

The Site and all of its contents — including text, graphics, logos, images, design, layout, code, and the North Sea platform, framework, and related software — are owned by North Sea Strategic or its licensors and are protected by copyright, trademark, trade-secret, and other intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own informational, non-commercial use. You may not copy, reproduce, republish, distribute, modify, create derivative works from, reverse engineer, or otherwise exploit any part of the Site or the North Sea platform without our prior written permission. “North Sea Strategic,” “North Sea,” “North Sea Core,” and associated logos are our trademarks and may not be used without permission.

5. Proposals, estimates, and pricing

Any pricing, timelines, packages, or service descriptions presented on the Site are illustrative and informational only, are subject to change without notice, and do not constitute a binding offer. Formal scope and pricing are provided only in a written proposal following our review of your specific requirements.

6. Acceptable use

You agree to use the Site lawfully and not to: submit false, misleading, or unauthorized information; impersonate any person or entity; attempt to gain unauthorized access to the Site, our systems, or related networks; introduce viruses, malware, or other harmful code; scrape, harvest, or collect data from the Site by automated means without our permission; interfere with or disrupt the Site or its infrastructure; or use the Site to infringe the rights of others or for any unlawful purpose.

7. Your submissions

If you submit information, ideas, or materials through the Site (for example, project details in a form), you represent that you have the right to do so, and you grant us a non-exclusive, royalty-free license to use that information for the purpose of responding to and evaluating your inquiry. Please do not submit confidential information through the Site before a confidentiality agreement is in place.

8. Third-party links and services

The Site may contain links to, or integrations with, third-party websites and services that we do not control. We provide these for convenience only and are not responsible for the content, products, policies, or practices of any third party. Your use of third-party sites and services is at your own risk and subject to their terms.

9. Disclaimer of warranties

The Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any information on the Site is accurate, complete, or current.

10. Limitation of liability

To the fullest extent permitted by law, North Sea Strategic and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Site, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages. To the extent liability cannot be excluded, our total liability arising out of or relating to the Site is limited to one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless North Sea Strategic and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site, your submissions, or your violation of these Terms or of any law or third-party right.

12. Changes to these Terms

We may modify these Terms at any time. When we do, we will update the “Last updated” date above, and the revised Terms take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the state in which North Sea Strategic is organized, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to the Site or these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in that state, and you consent to their jurisdiction and venue.

14. Severability; entire agreement; waiver

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, are the entire agreement between you and North Sea Strategic regarding your use of the Site. Our failure to enforce any provision is not a waiver of it.
